Agreement

This Terms of Service Agreement ("Agreement") constitutes a binding legal agreement between you, the user ("User"), and LimonLabs ("LimonLabs"), regarding your access to and use of all LimonLabs services, including its applications ("App") and any future features or functionalities added thereto (collectively, the "Services"). By accessing or utilizing any Service, User acknowledges that they have read, understood, and agree to be bound by the terms and conditions set forth herein, including the LimonLabs Privacy Policy, Data Processing Agreement, General Data Protection Regulation, and California Consumer Privacy Act Addendum (collectively, the "Related Agreements"). The Related Agreements are incorporated by reference and provide further details concerning LimonLabs' privacy practices and data handling procedures.

Access to Current Terms

LimonLabs reserves the right, at its sole discretion, to update or modify this Agreement at any time by posting the revised version on its website. Users are encouraged to periodically review this Agreement for any potential changes that may affect their use of the Services.

User Acceptance

By utilizing the Services, User acknowledges that they have thoroughly read, understood, and agree to be bound by this Agreement, including all provisions contained within the aforementioned Related Agreements. User's continued use of the Services following any revisions to this Agreement constitutes their express acceptance of such changes.

General Terms and Conditions

Eligibility

To use our services, you must be 18 years old or the legal age of majority in your jurisdiction.

The email address you provide during registration will be our primary method for contacting you regarding the service.

Technical Support

Please note that technical support is only available to paying customers and is provided via email.

Ownership and Changes to the Services

You acknowledge that LimonLabs owns all intellectual property rights associated with the services we provide through our website, applications, social media platforms, and downloadable programs. We reserve the right to update, modify, or discontinue any aspect of the services at our discretion. These Terms of Service apply to all current and future services offered by LimonLabs. We are not liable for any service updates, modifications, revisions, suspensions, or discontinuances. Your continued use of the services constitutes your acceptance of these changes. We encourage you to periodically review these Terms of Service to stay up-to-date on any modifications. If you disagree with any changes, you must stop using the services.

Governing Law

These Terms of Service are governed by and interpreted in accordance with the laws of Vietnam, and potentially other jurisdictions.

Restrictions on Use

You are prohibited from reproducing, duplicating, copying, selling, reselling, or exploiting any portion of our services, use of the services, or access to the services without our express written permission.

Compatibility: Getting the Most Out of Your Experience

We strive to ensure our app works seamlessly across a broad range of popular browsers and operating systems. For optimal performance and functionality, we recommend using the latest three versions of Firefox, Safari, Chrome, Microsoft Edge, and Internet Explorer 11. We also rigorously test compatibility on various mobile, tablet, and desktop devices.

If you encounter any issues using a supported browser version, please don't hesitate to report them to our support team. Your feedback helps us continuously improve compatibility and user experience.

Account Security: Your Responsibility

To ensure the security and integrity of our service, access to the Services is limited to authorized users with their own unique accounts. Sharing login credentials or registration information with another user is strictly prohibited.

You are solely responsible for maintaining the confidentiality and security of your BigCommerce account password. LimonLabs cannot and will not assume liability for any loss or damage arising from your failure to safeguard your account credentials. We highly recommend selecting a strong, unique password and exercising caution when accessing your account from any device.

Transparent Billing: Understanding Your Fees

To ensure access to our service, subscription fees will be applied to your product or service selection. These fees are billed in advance on a 30-day recurring basis (the "Billing Date"). Transaction fees and any additional fees associated with specific actions or customization requests will be clearly communicated and charged accordingly. All fees are collectively referred to as "Fees."

A detailed invoice outlining the Fees will be sent via email to the account owner and displayed within your BigCommerce administration console after each Billing Date. We encourage a prompt review of your invoices. Any discrepancies regarding subscription fees should be brought to our attention within two weeks.

Tax Considerations

You may be responsible for applicable taxes based on your billing address. These taxes will be added to your Fees and charged to your authorized payment method. If you are exempt from these taxes, please provide valid documentation for verification. Approved tax-exempt status will be reflected on future invoices. Otherwise, you are solely responsible for determining and remitting any applicable taxes to your local authorities.

Price Adjustments

We reserve the right to adjust pricing structures with 30 days' written notice. We will communicate any price changes transparently to ensure you are always informed.

Ending Your Subscription: Cancellations and Termination

You're in Control

You can cancel your subscription at any time by either uninstalling the app or sending an email to [email address removed]. We'll provide clear instructions to guide you through the cancellation process.

What to Expect Upon Cancellation

Once your subscription is cancelled, you will no longer have access to our services. Please note that cancellations are not eligible for pro-rated refunds of any fees previously paid. Additionally, any outstanding balance you owe for using the service up to the cancellation date will become due and payable immediately. Finally, our services will be disabled for your store website.

Our Right to Terminate

We reserve the right to modify or terminate access to the app or your account at any time, for any reason.

Fraudulent Activity

LimonLabs takes fraud seriously. If we suspect fraudulent activity associated with your account (based on a conviction, settlement, investigation, or other means), we may suspend or terminate your account without prior notice.

Resolving Account Issues

If there's ever a question about who owns a particular account, we might need some documentation to clear things up. This could include things like a scan of your business license, a government ID, or the last four digits of the credit card you used to sign up.

Keeping Things Civil (and Legal)

By using our service, you agree that we (LimonLabs, our subsidiaries, partners, and everyone on the team) won't be held responsible for any claims or legal issues that arise from content you submit, post, or share through our service. This includes things like lawyer fees if someone has a problem with something you've posted, or if you violate our terms of service or someone else's rights.

Your Responsibility: Content and Usage

You are solely responsible for all activity and content that occurs within your account. This includes, but is not limited to, photos, videos, text, audio, code, and any data uploaded, collected, generated, stored, displayed, or transmitted through our services.

Our service is intended for legal and authorized use only. This means you cannot use it for any purpose that violates local, national, or international laws. This includes, but is not limited to, copyright infringement, and any laws applicable to your location or your customers' locations. We expect all users to comply with all relevant laws and regulations while using our services.

Intellectual Property Rights

  • Your Content: LimonLabs acknowledges and respects your ownership of all materials you upload to our App service ("Customer Content"). You retain all intellectual property rights to your Customer Content and may remove your App at any time by uninstalling it from your account.

  • Confidentiality: LimonLabs maintains strict confidentiality regarding all Customer Content. We will not disclose such information to third parties except as necessary to provide the Services or as required by law. Exclusions to confidentiality include information that:

    • Was publicly known at the time of receipt by LimonLabs.

    • Enters the public domain through no fault of LimonLabs.

    • Was lawfully obtained from a third party without a breach of confidentiality.

    • LimonLabs is legally obligated to disclose.

  • Promotion of Services: LimonLabs reserves a non-exclusive right and license to use the names, trademarks, service marks, and logos associated with your store ("Store Identity") for the sole purpose of promoting the Services.

  • LimonLabs Intellectual Property: You acknowledge and agree that all trademarks, copyrights, trade names, service marks, logos, brand features, and product and service names of LimonLabs are and shall remain the exclusive property of LimonLabs. You agree not to display or use any LimonLabs intellectual property without our prior written consent.

  • Content Removal: LimonLabs reserves the right, in its sole discretion, to remove any Customer Content from the Services at any time for any reason. We strive to maintain a professional and appropriate environment for all users of the Services.

Understanding Our Responsibilities: Limitations of Liability

We strive to provide a reliable and secure service. However, it's important to understand the following limitations of our liability:

  • LimonLabs is not liable for any indirect, incidental, or consequential damages arising from your use of the service, including lost profits, goodwill, data, or other intangible losses.

  • We cannot guarantee uninterrupted, error-free, or completely secure service.

  • The results obtained from using the service may not always be perfectly accurate or reliable.

  • We don't guarantee that any products, services, information, or materials acquired through the service will meet your expectations or that all errors will be corrected.

In essence, you are using the service at your own risk. It's provided "as is" and "as available," without any express, implied, or statutory warranties or conditions.

We Partner, You Decide: Using Third-Party Services

We might recommend cool third-party apps, products, or websites (think "Third-Party Services") to enhance your experience. These can be found through the BigCommerce App Store or other channels. But here's the deal: these are separate services, and your interaction with them is solely between you and the provider.

It's important to be informed! Before diving in with any Third-Party Service, make sure you read their terms and privacy policies.

When you connect a Third-Party Service to our platform, you're essentially granting them permission to access your data - just what's needed for them to work seamlessly with our service. It's a two-way street: any data exchange or interaction is entirely between you and the provider. We're not responsible for any changes they make to your information.

The same goes for advertisers you might encounter on our service. Any transactions or interactions with them are solely your responsibility. We don't endorse these advertisers, and we can't be held liable for any issues that may arise.

We might also link to other websites. While we strive to provide helpful resources, keep in mind that we have no control over these external sites. Their content and functionality are their own responsibility.

A Word on Warranties

We don't provide any guarantees for Third-Party Services. They're separate entities, and we can't vouch for their performance. Just because a service is available on our platform doesn't mean we endorse it.

We reserve the right to disable access to any Third-Party Service at any time. We recommend seeking expert advice before relying on these services, especially for things like tax calculations.
